Terms and conditions of the "Orthodose®" Application (Mobile App and Web App)
Summary
The following Terms and Conditions (hereinafter referred to as “Terms”) govern the use of the Orthodose® mobile application (the “Mobile Application”) as well as the web application (the “Web App”) located on www.orthodose.com (the Mobile Application and the Web App are jointly referred to as the “Application”) provided by MedLight, SRL (hereinafter referred to as “MedLight” or “we”). By installing the Application on your device and/or by accessing the Application as a visitor and/or user, you are required to accept unconditionally and without reservation all of the Terms defined below. If you do not agree to these Terms, you must immediately uninstall the Application and/or discontinue its use.
Orthodose® is not offered for use or sale in the United States or Canada.

2. DEFINITIONS
Terms starting with a capital letter within these Terms, whether used interchangeably in the singular or in the plural, will have the meaning given to them below:
- “Content” refers to the structure of the Application, drawings, illustrations, images, photographs, graphic charts, trademarks, logos, acronyms, company names, medical information, scientific data, visual content, audio and sound content, and any other content present within the Application or any other element composing the Application.
- “Free Version” means the basic version of the Application that is available without payment and includes limited features.
- “License” means the right to access and use the Application or its premium features for the duration of the User’s subscription, whether purchased individually or through the Volume Purchase Program.
- “Premium Version” or “Orthodose® Pro” means the paid version of the Application that provides access to additional modules, features, and tools beyond the free version.
- “Services” refer to the various features and services offered by the Orthodose® Application.
- “Subscription” means the annual, automatically renewable access right purchased by the User or VPP Operator to use the Premium Version of the Application.
- “User” or “You” refers to the qualified Healthcare Professional who downloads or accesses the Application through the mobile app or the web app.
- “User Account” means the account the User needs to set up when installing the mobile app or accessing the Web App.
- “User Content” means any content published and/or transmitted by the User via and/or on the Application, including, but not limited to, text, images, audio, video, and any other form of information capable of being stored on an electronic device that appears on, or forms part of, the Application.
- “VPP” or “Volume Purchase Program” means the program offered by MedLight allowing bulk or multiple-license purchases of the Application through the Web App.
- “VPP Operator” means the entity or individual contracting with MedLight that enters into an agreement as outlined herein, to participate in the Volume Purchase Program (“VPP”). The VPP Operator has the right to make bulk purchases of licenses under the terms specified herein.
- “Web App” means the web-based version of the Orthodose® Application accessible through www.orthodose.com or any other URL provided by MedLight.
- “Website” means the Orthodose® website located at www.orthodose.com and any subdomains used by MedLight.
“Application” means the Orthodose® application supplied by MedLight, providing access to the Services (as defined below). The Application includes all its contents, software, programs, tools, databases, operating systems, documentation, and all other elements and services that compose it, including updates and new versions that may be applied to the Application by MedLight. These Terms apply to the use of both the mobile application and the web application, located on the Orthodose® website.
3. GENERAL TERMS
3.1 Applicability
These Terms apply to all Services offered by MedLight through the Application, except where expressly stated otherwise.
3.2 Eligibility
To use the Application, you must meet the following conditions:
- You must be a licensed and qualified healthcare professional under the laws of your country.
- You must be of legal age and have full legal capacity to enter into a binding agreement.
- The Application is not offered for use or sale in the United States or Canada.
- You must comply with all laws and rules that apply to you in your country when using the Application.
- MedLight may restrict access to the Application or to certain features based on your country or region, including access to the Volume Purchase Program.
3.3 Appstore Terms
If you use the mobile Application, these Terms include the Apple and Google Play terms and conditions and privacy policies (the “Platform Terms”). If there is any conflict between these Terms and the Platform Terms, then the Platform Terms will apply. Your use of the Mobile Application may also be subject to the Platform Terms.
3.4 Capacity
You cannot use the Services nor accept these Terms if you are not of legal age or have the required mental capacity to form a binding contract with MedLight.
3.5 Acceptance
By installing the Application, creating a User Account, making a purchase, or using the Application or any of its Services, you accept these Terms in full and without reservation. You are responsible for reading and understanding these Terms before using the Application. If you do not agree to these Terms, you must stop using the Application and all MedLight Services.
3.6 User Terms
Any terms or conditions provided by you that conflict with these Terms are rejected and do not apply to your use of the Application.
3.7 Operating System Requirements
The requirements for Android and/or Apple may change so the User may need to download updates as they become available in order to continue using the Application. MedLight does not promise that it will always update the Application so that it is compatible with the version of Android installed on the User’s device. The web application can be accessed using any device that can use the world wide web through the regular browsers.
3.8 Third-Party Device
If the User downloads the mobile Application onto any device not owned by the User, the User must have the owner’s permission to do so. The User will remain responsible for complying with these Terms, whether or not the User owns the device.
3.9 Update
MedLight may automatically update or modify the Application at any time to improve functionality, security, or compliance. Certain updates may be mandatory to continue using the Application.
3.10 Beta Testing and Experimental Features
MedLight may, from time to time, make certain beta, preview, or experimental versions of the Application or specific modules available to Users for testing and evaluation purposes. Such beta versions may not operate as intended, may contain errors, bugs, or incomplete features, and may be modified or withdrawn at any time without notice. By using any beta or experimental feature, the User acknowledges that they are doing so voluntarily, at their own risk, and that MedLight provides no warranty of performance, accuracy, or reliability. MedLight shall not be liable for any loss, error, or interruption arising from the use of beta or pre-release functionalities.
3.11 Geographic Availability – USA and Canada Restriction
The Orthodose® Application is not intended for download, use, distribution, or sale in the United States or Canada. MedLight does not make any representation that the Application or its Content complies with the laws, medical standards, or regulatory requirements of the United States Food and Drug Administration (FDA), Health Canada, or any equivalent regulatory authority. Any access to or use of the Application from within these territories is strictly prohibited and done at the User’s own initiative and risk. MedLight shall not be responsible for any consequences arising from such unauthorized use.
4. PURPOSE OF THE APPLICATION
4.1 Intended Users and Use of Information
The Orthodose® Application is exclusively intended for licensed and qualified healthcare professionals and has been designed to provide information on the uses of reference products in palliative care and calculations related to these products.
The information provided through Orthodose® tools is for documentation and information purposes only. The User assumes sole and entire responsibility for any use made of the information. It is clarified that:
- The Orthodose® Application does not collect, process, store, or have technical capability to receive personal or patient-specific data. Accordingly, the Application cannot take into account individual patient characteristics, clinical histories, or patient-specific variables in the context of the Services.The Orthodose® Application cannot be used as a diagnostic or therapeutic tool or as a substitute for the clinical judgment of a qualified healthcare professional.
- The User may use the reference information provided by the Orthodose® Application solely as a clinical support and documentation tool, and always under their sole professional responsibility. Any use of such information must be combined with the User’s independent clinical judgment and the patient-specific data known only to the User, which the Application does not and cannot take into account.
- MedLight is not liable for any inappropriate use that would contravene the principles set out above.
By using the Application, you confirm that you are a licensed and qualified healthcare professional under the laws of your country. MedLight is not responsible for verifying your professional status and is not liable if the Application is used by someone who is not authorised to do so.
4.2 Application Modules
4.2.1 Modules Accessible in the Free Version
- OPIOID SWITCHER: Opioid Converter. The Opioid Switcher module provides the User with a tool to calculate the theoretical equianalgesic dose of (Most frequently used opioids in palliative care). Equianalgesic dose calculation is based on information provided by pharmaceutical firms and/or evidence-based medicine from scientific literature. Additionally, Opioid Switcher offers a dose reduction calculation during opioid conversion, following recommendations from specific literature.
- CORTICODOSE: Corticosteroid Converter. Corticodose allows healthcare professionals to compare the mineralocorticoid potency of various glucocorticoids. The module also provides essential information on the half-life of each corticosteroid.
4.2.2 Modules Accessible in the “Premium” Paid Version (Orthodose® Pro)
- RESCUE DOSE: Opioid Rescue Dose Calculation In palliative care. The opioid rescue dose, also known as the breakthrough dose, is administered during an attack of paroxysmal pain. The “Rescue Dose” tool, based on palliative care calculation rules, offers a standardized calculation of the rescue dose.
- BENZO SWITCHER: Benzodiazepine Converter The “Benzo Switcher” module provides the User with calculations for converting one benzodiazepine to another, using reference ratios proposed in specialist literature and by experts. This information is intended for informational purposes.
- MIX & MATCH: Drug Compatibility Checker for Continuous Infusion Pump “Mix and Match” assists healthcare professionals in determining the compatibility of drug combinations for use in the same syringe or infusion pump. It provides information on the feasibility of combining specific drugs but does not offer data on pharmacokinetic and/or pharmacodynamic drug interactions.
- SUB-CUT: Drug Compatibility Checker for Subcutaneous Administration. When oral administration is not possible, the subcutaneous route is often employed in palliative care. The “Sub-Cut” module offers a list of medications recognized as compatible for subcutaneous administration, as found in the medical literature.
Please note that the above-listed modules and their functionalities are subject to change by MedLight without prior notice, at MedLight’s sole and absolute discretion. MedLight is also entitled to refuse to provide the Services, or any part thereof, to any (potential) User, for any reason and at any time.
To access the additional modules and features available in the Orthodose® Pro version, Users must subscribe to the premium version of the Application.
4.2.3 Volume Purchase Program
The Volume Purchase Program (“VPP”) is primarily intended for bulk or multi-license purchases by healthcare institutions, clinics, or associations. However, in certain jurisdictions, MedLight may also authorize the purchase of single professional licenses directly through the same VPP interface. All single and bulk purchases made through the VPP platform are subject to these same Terms, including any applicable payment, renewal, and data management provisions.
The Orthodose® Web App offers a Volume Purchase Program (VPP) that allows hospitals, clinics, associations, and other organisations to purchase several user licences in one order. The VPP can only be accessed through the Orthodose website (www.orthodose.com) or its dedicated address https://vpp.orthodose.com.
In addition to bulk purchases, MedLight may also allow the purchase of single licences directly through the Web App in certain countries. The availability of single-licence purchases depends on local tax and invoicing regulations. MedLight may restrict or disable access to the VPP or to single-licence web purchases in specific countries or regions at its discretion. The Application is not offered for use or sale in the United States or Canada.
Licences purchased through the VPP or Web App provide the same features and functionalities as those obtained through the Apple App Store or Google Play Store. Each licence can be used on all supported platforms (iOS, Android, and Web App) in accordance with these Terms.
VPP Operators may be required to provide business, VAT, and billing information. Payment for VPP purchases shall be made following the issuance of an invoice by MedLight, either by bank transfer or, where offered by MedLight, through an approved online payment platform such as the Stripe payment gateway. Pricing for web-based purchases may differ slightly from app-store pricing due to platform, payment-processing, or administrative fees.Access to each licence is linked to an email address, which serves as the activation key. The VPP Operator enters the email of each end-user to assign a licence and may add a first and last name if desired. End-users must confirm their professional status as healthcare professionals when they first log in. If permitted by the system, the VPP Operator may reassign or update email details in accordance with MedLight’s procedures.
Each licence purchased through the VPP will appear in the Operator’s team-management dashboard. Operators may request quotes for additional licences at any time. Operators cannot delete user accounts on behalf of end-users. Each end-user remains responsible for managing and, if desired, deleting their own account.
Participation in the Volume Purchase Program (VPP) requires the purchase of a minimum of five (5) licences per order.
Notwithstanding the above, MedLight may, in certain countries and at its discretion, allow the purchase of a single professional licence directly through the Web App outside the VPP framework. The availability of single-licence web purchases depends on local legal, tax, and invoicing requirements and may vary by jurisdiction.
MedLight may refuse access to the VPP or suspend existing access for legal, regulatory, tax, or compliance reasons, or in the event of misuse or non-payment. MedLight may also update or modify the VPP at any time without prior notice.
MedLight reserves the right to restrict or disable access to the Volume Purchase Program (VPP), or certain purchasing features in specific countries or regions if required by local regulations, taxation rules, or data protection laws, or at MedLight’s discretion for operational or compliance reasons. VPP access and single-license purchases are available only in jurisdictions where MedLight can legally issue invoices and provide services in accordance with Belgian and EU regulatory frameworks. MedLight may, without liability, suspend or terminate access to any such services in restricted territories, including the United States and Canada.
5. FINANCIAL CONDITIONS AND SUBSCRIPTION TERMS
5.1 Basic Version
To access and use the mobile Application, the User must have a compatible telephone or a mobile terminal with access to the Internet. The mobile Application can be downloaded free of charge, in its basic version onto mobile devices using compatible OS versions.
The software version of the Application may be updated from time to time to add new functions and services. We recommend to always download the latest version to get full functionalities of the Application.
5.2 Premium Version – Orthodose® Pro
Subscription to the premium version of the Application (whether via mobile or the web), known as Orthodose® Pro, allows the user access to the following modules:
- RESCUE DOSE: Opioid rescue dose calculator.
- BENZO SWITCHER: Benzodiazepine converter.
- MIX & MATCH: Checks the compatibility of a drug combination for a continuous infusion pump.
- SUB-CUT: Checks the compatibility of drugs administered subcutaneously.
As part of Orthodose® Pro, the User can access the web Application, which operates through standard Internet browsers. The User can utilize the web-app on various devices, including but not limited to personal computers, laptops, tablets, and smartphones, without dependence on Android or Apple Stores.
The premium version, Orthodose® Pro, provides access to additional molecules not present in the OPIOID SWITCHER of the basic version. Access to Orthodose® Pro is available through both the mobile app and the Web App.
5.3 Access to the Premium Version
When using the mobile Application, the conditions of subscription to the premium version depend on the mobile terminal used by the User. The User should refer to the relevant Platform Terms that can be accessed on the “Apple Store” and “Google Play Store” platforms.
Users of Orthodose® Pro shall be entitled to a 7-day free trial. During this time, users can explore and experience the features and functionalities of the Pro Version without incurring any charges. The User has the option to cancel at any time during the free trial or the paid period. The paid period for the Orthodose® Pro Version begins on the first day following the conclusion of the 7-day free trial. Subscribers will be billed accordingly, and access to the premium features will continue seamlessly.
Following the expiration of the free trial, the Pro Version operates on a recurring billing cycle. Users will be charged at regular intervals, corresponding to the chosen subscription plan, until a cancellation request is initiated.
Each User is entitled to one (1) free trial period of seven (7) calendar days. Repeated trials or account re-registrations to obtain additional free access are strictly prohibited and may result in suspension.
5.4 Subscription Duration and Auto-Renewal
The Application is licensed, not sold, to Users. Each License is personal, non-transferable, and subject to the User’s acceptance of these Terms and any related policies provided by MedLight. The User must confirm that they are a qualified healthcare professional before activating or renewing a License.
Each subscription to Orthodose® Pro is valid for one named User, identified by a single email address or Apple/Google sign-in account. The License may be used on up to three personal devices (smartphones, tablets, or computers) owned or controlled by that User. Sharing or transferring a License to another individual is strictly prohibited.
The standard and minimum subscription term for the Orthodose® Pro licence is one (1) year, commencing on the date of purchase or activation. Unless cancelled prior to the applicable renewal date, subscriptions automatically renew for successive subscription periods at the then-current applicable rate.
For licences purchased through the Volume Purchase Program (VPP), longer subscription terms may be agreed upon at MedLight’s discretion, as specified in the applicable quotation or invoice.
In addition, and subject to availability, MedLight or the relevant app-store platform may from time to time offer promotional subscription options, including multi-year licences, through the Apple App Store or Google Play Store. The availability, duration, pricing, and renewal conditions of such promotional offers are determined by the applicable platform and may vary.
Automatic renewal settings may be managed or disabled at any time through the platform used for the original purchase (Apple App Store, Google Play Store, or Web App). Renewal notices and payment confirmations will be provided in accordance with the policies of the relevant platform and, where applicable, may be sent to the User’s registered email address.
To maintain continuous access across platforms, Users must always log in using the same email address or account used at the time of purchase. Using a different or hidden email address may prevent renewal or access to a paid License.
Subscriptions purchased through either the mobile Application or the Web App provide identical access rights and features and allow the User to use the Application on all supported platforms (Web App, Apple, and Android).
5.5 VPP Terms & Subscriptions
The pricing for licenses purchased through the Volume Purchase Program (VPP) or as individual web-based subscriptions may vary slightly from prices shown in the Apple App Store or Google Play Store due to platform and payment-processing fees.
Organisations, associations, or healthcare institutions may request a customised quotation for bulk or individual licence purchases through the Orthodose® website. Each quotation will include these Terms and the applicable pricing. Payment must be made following the issuance of an invoice by MedLight, either by bank transfer or, where offered by MedLight, through an approved online payment platform (including the Stripe payment gateway). Access to the purchased licences will be activated once full payment has been received.
The purchaser may appoint themselves or another person as the VPP Operator. The VPP Operator is responsible for managing all licences under the organisation’s account. Participation in the Volume Purchase Program (VPP) requires the purchase of a minimum of five (5) licences per order.
Each subscription obtained through the Volume Purchase Program (VPP) is valid for a standard minimum term of one (1) year from the date of activation, unless a longer subscription term is expressly agreed and specified in the applicable quotation or invoice. Subscriptions may be renewed upon expiry.
Prior to renewal, MedLight will issue a renewal invoice to the VPP Operator reflecting the applicable renewal term and pricing. Payment of such invoice confirms renewal for the corresponding subscription period.
If additional licences are purchased between billing cycles, MedLight may issue a pro-rated invoice covering the remaining portion of the current subscription term until the next renewal date.
The VPP Operator may assign, reassign, or update the email address linked to each licence in accordance with MedLight’s procedures. However, the Operator cannot cancel an active licence before its expiry date. When a licence is reassigned, the new end-user must confirm that they are a qualified healthcare professional before activation.
If an end-user loses access to the professional email address associated with their licence, access to the Application will be lost. To maintain access, the same email address used for the original purchase must also be used to log in to the Web App. Using a hidden or alternate email (for example, Apple’s “Hide My Email”) may prevent renewal or access. MedLight is not responsible for any loss of access caused by the use of hidden or inaccessible email addresses.
The VPP Operator has full control over licence management, including requesting quotes for new licences and removing existing ones from the VPP dashboard. When a licence is removed, it will no longer appear in the Operator’s dashboard, but the licence will remain valid until its expiry. Operators cannot delete end-user accounts or data; only individual end-users can delete their own accounts.
If a licence is to be reassigned to a User who has previously deleted their User Account, the Operator must first remove the old licence and then create a new one through the VPP panel.
MedLight reserves the right to refuse, suspend, or restrict VPP access for compliance, tax, or regulatory reasons, or in cases of misuse or non-payment.
All direct sales of licenses, whether individual or through the Volume Purchase Program, are governed exclusively by these Terms and by no other contractual or commercial conditions, unless otherwise agreed in writing by MedLight.
5.5A Email Identity and Access Management
To ensure continuous access to paid features and account synchronization across platforms, Users must always log in using the same email address or authentication method (Apple ID, Google account, or equivalent) used during purchase or activation. Use of hidden or masked email relay services – such as Apple’s “Hide My Email” feature – may prevent validation of purchases or restoration of access. While third-party services such as RevenueCat facilitate license recovery, their ability to do so is not guaranteed. Maintaining an accessible, valid, and operational email address is the sole responsibility of the User. MedLight shall not be liable for any access loss, synchronization issue, or data unavailability caused by hidden, expired, or inaccessible email accounts.
5.5B Sales, Invoices, and Quotations
All quotations or invoices issued by MedLight, whether for individual or VPP purchases, are governed by these Terms. Any quotation issued by MedLight is valid for the period stated in the quotation itself, or, if no validity period is specified, for thirty (30) calendar days from its date. Upon written acceptance or payment by the purchaser, the quotation becomes a binding agreement subject to these Terms. Payment must be made in full, in the currency specified on the invoice, and within the payment term stated therein. MedLight reserves the right to suspend or withhold license activation until full payment has been received. Late payments may incur interest at the rate permitted under Belgian law, without prejudice to MedLight’s right to recover costs or damages. In the event of any conflict between the provisions of an invoice or quotation and these Terms, these Terms shall prevail.
5.6 Subscription Cancellation and Restoration
Users who wish to stop their subscription to Orthodose® Pro can do so at any time through the platform used for their original purchase. Once the subscription is cancelled, the User will retain access to the Premium Version until the end of the current paid subscription period.
If a User decides to re-subscribe to Orthodose® Pro after canceling or logging out, they can restore their previous purchase by logging in and entering their email or Apple/Android sign-in, depending on the operating system and smartphone used.
Upon cancellation of a premium version, the User shall retain access to the basic (free) version of the Application.
For clarity, the free trial period offered under Section 5.3 is strictly limited to seven (7) calendar days and is available only once per User or account.
5.7 Cancellation of VPP Program
An expiration date will be visibly displayed on all licenses. All licenses will maintain an active status until the conclusion of the ongoing billing cycle. The VPP Operator cannot cancel active licenses prior to their expiry. Unless the VPP Operator requests a new invoice and/or the renewal of the license(s), the licenses shall expire upon the expiration date shown.
5.8 Deleting an associated user from a license
This clause applies solely to licences purchased and managed under the Volume Purchase Program (VPP).
The VPP Operator has the authority to remove or deactivate licences within the VPP system. When a VPP licence is removed or deactivated by the VPP Operator, the email address associated with that licence shall be removed from the VPP licence administration panel.
Where a VPP Operator removes or does not renew a VPP licence for Orthodose® Pro, the affected end-User shall no longer have access to the Pro features through the VPP. In such cases, the end-User may continue using the free version of the Application or may independently purchase and maintain a self-paid subscription to Orthodose® Pro through the App Store or Web App, subject to these Terms.
5.9 User Account Deletion
Users have the option to delete their entire User Account within the Application by following the account deletion instructions or by submitting a deletion request through the specified procedure outlined herein.
Upon deletion of a User Account, Medlight shall not retain any of the User’s personal information.
User Account and data deletions are irreversible, resulting in the permanent loss of access to the application, unless a subsequent account is created. If there are any pending financial transactions, the User shall remain liable for payment thereof, even if access to the Application has ceased.
The data deletion process includes multiple confirmation steps to prevent accidental deletion. Medlight shall not be responsible and/or liable if the deletion process is initiation through the User Account by an unauthorised individual, as the User is responsible for maintaining privacy.
In the event of accidental deletion, the User may attempt to recover their account within 6 days of deletion by contacting Medlight citing a recovery request. Medlight does not guarantee the successful recovery of deleted accounts. Recovery will be impossible after 7 days of the deletion.
Users accessing the Application through a VPP service must inform their VPP Operator prior to initiating data deletion. Medlight shall not be responsible or liable for charges incurred by the VPP Operator due to a User prematurely deleting a User Account part of a VPP.
5.10 VPP Account Deletion
This clause applies solely to accounts and licences managed under the Volume Purchase Program (VPP).
To delete a VPP account, the VPP Operator acting on behalf of their organisation, institution, or association must follow the written procedure set out in MedLight’s Data Deletion Policy. Only the designated VPP Operator is authorised to initiate deletion of a VPP account.
Before initiating the deletion procedure, the VPP Operator is responsible for reviewing, downloading, and retaining any invoices, billing records, or other information they may require. Once the deletion process has been initiated and completed, access to such information may no longer be available.
The complete deletion of a VPP account may require up to fifteen (15) calendar days to be finalised. During this period, certain data may be temporarily retained for legal, accounting, regulatory, or security purposes, in accordance with applicable law. Full removal will be completed once the deletion process has concluded.
5.11 Modification of Premium Version Features
MedLight reserves the right to modify the features and functionalities offered in the premium version of the Application, Orthodose® Pro. Such modifications may include adding or removing modules, content, or services. Users will be notified of any substantial changes to the premium version in advance. However, MedLight shall not incur any liability for such modifications.
5.12 Web App and VPP Payment Processing
Payments for non VPP subscriptions entered into through the Web App will be processed using the Stripe payment gateway. VPP payments are processed using invoices that are provided directly to the VPP Operator by MedLight. Users are required to provide accurate and up-to-date payment information to complete transactions via the Web App.
Orthodose® does not store or have access to the User’s payment details. App payment information is securely handled by Stripe in accordance with their privacy and security policies.
Users agree to comply with the terms and conditions of Stripe when making payments through the Web App.
Orthodose® reserves the right to update or change the payment processing provider, with notice provided to the User.
5.13 Coupon Usage
MedLight may, from time to time, offer coupons, discounts, promotional offers, or other limited-time pricing incentives, primarily in connection with purchases made through the Volume Purchase Program (VPP) or the Web App. The availability, eligibility, duration, and terms of any such coupon or promotional offer are determined at the sole and absolute discretion of MedLight and may be modified or withdrawn at any time.
5.14 Invoicing Policy
Invoices are issued by MedLight SRL where subscriptions are purchased directly through the Orthodose® website or Web App. For business-to-business (B2B) transactions, invoices are issued electronically via the PEPPOL network in accordance with applicable Belgian and European Union invoicing regulations.
Where subscriptions are purchased through third-party platforms, including the Apple App Store or Google Play Store, the invoice is issued by the relevant platform acting as merchant of record, and not by MedLight SRL.
6. ACCESS TO THE APPLICATION
6.1
When the User first installs the Application, the User must register and create a User Account. For accounts created under the Volume Purchase Program (VPP), the identification email is assigned by the VPP Operator and not by the individual end-User. The User must provide accurate, current, and complete information when creating the account and must update such information if it changes. If any information provided is or becomes inaccurate, false, or misleading, MedLight may suspend or terminate the User Account without notice.
6.2
The User is solely responsible for maintaining the confidentiality of login credentials and for all activity conducted under the account unless the User promptly notifies MedLight of any unauthorized use. If MedLight reasonably believes that these Terms have been breached, it may immediately disable or restrict access to the User Account.
6.3 Cross-Platform Account Authentication and Access
Access to the Orthodose® Application, including the Mobile Application and the Web App, is linked to a single User identity. Users who purchase or activate a licence through the Mobile Application have corresponding access to the Web App, and vice versa, provided that the same email address or authentication method is used.
Users must always authenticate using the same email address or sign-in method originally used at the time of purchase or licence activation, including for both Web App and mobile access. Where Apple ID or Google account authentication is used, the User must continue to sign in using that same store-based authentication and its associated email identity across all platforms.
Use of a different email address, multiple accounts, or hidden or masked email relay services (such as Apple’s “Hide My Email” feature) may prevent validation, synchronization, renewal, or restoration of access to a paid licence. While third-party services may assist with purchase recovery, uninterrupted access cannot be guaranteed unless a consistent and accessible authentication method is used.
Maintaining a valid, accessible, and consistent login identity is the sole responsibility of the User. MedLight shall not be liable for any loss of access, synchronization failure, or licence restoration issue resulting from inconsistent authentication methods, account changes, or use of hidden, masked, or inaccessible email addresses.
6.4
MedLight may, at its discretion and for operational, legal, or security reasons, at any time and without prior notice :
- Suspend, interrupt, or limit access to all or part of the Application;
- Restrict access to certain categories of Users;
- Temporarily suspend the Application to perform maintenance or updates;
- Update or modify any Content;
- Delete all or part of the Content; or
- Restrict availability of the Application in certain jurisdictions.
6.5
MedLight also reserves the right to deny or withdraw access to the Application from any User or territory if required by law or to protect MedLight’s legitimate interests.
If no activity occurs on a User Account for a period of five (5) years, MedLight may delete the account and any related data in accordance with applicable data-protection laws and/or our Privacy Policy. Non-personal or anonymized data may be retained for statistical or legal purposes.
7. USE OF THE APPLICATION
7.1 Mobile Data
The User acknowledges that they may be charged by their electronic device provider while using certain features of the Application when not connected to a free internet source. If the User is not the bill payer for the device on which the Application is installed, the User confirms that they have obtained the bill payer’s consent to use the Application.
7.2 Appropriateness
The Application and Services have not been developed to meet the User’s individual requirements. It is the User’s responsibility to ensure that the functions, calculations, and results provided by the Application are suitable for their professional use and clinical requirements.
7.3. Acceptable Use
The User hereby agrees not to use the Application in any way that:
- could be harmful or dangerous to any of the User’s patients and/or clients;
- is unlawful, illegal, fraudulent, or unauthorized;
- is defamatory of any person;
- is obscene or offensive;
- promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
- impersonates any other person;
- could be harmful to minors in any manner;
- infringes any copyright, database right, or trademark of MedLight or any other person;
- is likely to harass, intimidate, insult, inconvenience, or annoy any other person;
- is for any purpose other than for which the Application is intended;
- is likely to disrupt the Application and/or Services in any way; or advocates, promotes, or assists any unlawful act.
The User must not misuse the Application by knowingly introducing viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful. The User must also not attempt to gain unauthorized access to our Application, the service on which the Application is stored or any server, computer, or database connected to the Application.
The User must not reverse-engineer, decompile, or attempt to bypass any security, licensing, or authentication features of the Application.
The User may not integrate or connect the Application with any third-party software, service, or system except through interfaces expressly authorized by MedLight.
The User shall not conduct, facilitate, authorize, or permit any text or data mining or web scraping in relation to the Application. This includes using (or permitting, authorizing, or attempting the use of):
- (a) any root, bot, spider, scraper, or other automated device, program, tool, algorithm, code, process, or methodology to access, obtain, copy, monitor, or republish any portion of the Application or any data, content, information, or services accessed via the same; or
- (b) any automated analytical technique aimed at analyzing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.
Any breach of this section may result in immediate suspension or termination of the User’s Account and/or legal action.
The provisions in this clause constitute an express reservation of MedLight’s rights under Article 4(3) of the EU Digital Copyright Directive (2019/790). This clause does not apply to the extent that MedLight cannot lawfully restrict such activities under applicable law.
8. SOURCE OF MEDICAL DATA
The data and calculations used in the development of Orthodose® are based on internationally recognized, peer-reviewed scientific literature and clinical reference materials available as of January 2026. A non-exhaustive list of the principal literature and sources is available in the “Medical Literature” section of the Application or may be provided by MedLight upon request.
The medical literature and reference data on which Orthodose® is built are continuously evolving. While MedLight periodically reviews and updates the content, no guarantee is given that the data or references are complete, up to date, or error-free.
The Application is intended solely as a clinical support and documentation tool for healthcare professionals. It must not be used as a substitute for professional judgment, diagnostic reasoning, or independent verification of dosage or treatment data. Users remain fully responsible for verifying any information before applying it in a clinical context.
Given the nature of the information and the diversity of scientific sources, occasional omissions, variations, or inaccuracies may occur. To the fullest extent permitted by law, MedLight shall not be liable for any consequence resulting from reliance on, or interpretation of, the information provided in the Application.

- medical use and professional responsibility: orthodose® is intended solely for use by qualified and licensed healthcare professionals. It is a clinical reference and calculation support tool designed to assist medical professionals and must never replace their clinical judgment, diagnostic reasoning, or decision-making. The application is not a diagnostic or therapeutic tool and is not certified as a medical device under regulation (eu) 2017/745 (mdr) or any equivalent medical device regulation in other jurisdictions. All information, calculations, and references provided through orthodose® are for documentation and educational purposes only. Users must verify the accuracy and relevance of all data before relying on it in any medical or clinical context. Use of the application does not establish a doctor–patient or advisory relationship between medlight and any user or their patients. Each healthcare professional remains solely responsible for all medical acts, prescriptions, and patient-specific decisions.
- source and accuracy of data: the information and calculation data provided in orthodose® are based on internationally recognized scientific and medical literature available as of january 2026. Medlight regularly reviews and updates this information but cannot guarantee that all data are complete, error-free, or reflect the most current scientific evidence. Medical knowledge and practice evolve continuously, and new findings may render parts of the information outdated. The inclusion of any molecule, dosage, or calculation formula within orthodose® does not constitute an endorsement or recommendation by medlight, its developers, or its affiliates. Users are responsible for cross-checking with the latest medical literature, clinical guidelines, or institutional protocols before relying on the data.
- user data input and calculation accuracy: the accuracy of any calculation, conversion, or recommendation generated by orthodose® depends entirely on the accuracy of the data entered by the user. Medlight is not responsible for any errors, omissions, or consequences resulting from incorrect, incomplete, or inappropriate data input. Users are responsible for ensuring that any information they enter is correct and clinically appropriate before applying the output to patient care.
- nature and availability of services: the application and its services are provided on an “as is” and “as available” basis. Medlight makes reasonable efforts to ensure consistent performance and reliability but does not guarantee that the application will always be available, uninterrupted, secure, or free from errors. Temporary service interruptions may occur due to maintenance, updates, third-party issues, or factors beyond medlight’s control. Medlight may modify, suspend, or discontinue any part of the application or its features at any time without notice or liability. The user is responsible for ensuring that their devices, browsers, and internet connections are compatible with the application and that they maintain appropriate antivirus and cybersecurity measures.
- regulatory and geographic restrictions: orthodose® is not available for sale or use in the united states or canada. Medlight may restrict access to the application or certain features in any country or jurisdiction where its operation or distribution would violate local law or regulatory requirements. Users are solely responsible for ensuring that their use of the application complies with the laws, regulations, and professional standards applicable in their jurisdiction.
- third-party platforms and services: the application relies on third-party platforms and services, including apple, google, stripe, and hosting or data management providers. Medlight does not control and cannot guarantee the functionality, availability, or security of these third-party systems. Any service interruption, delay, or failure caused by such providers is beyond medlight’s control. Users must comply with the terms of these third-party platforms and acknowledge that medlight is not responsible for any issues, errors, or loss of access resulting from their use.
- beta and experimental features: any beta, preview, or experimental features made available by medlight are provided strictly in accordance with section 3.10 of these terms. Such features are offered on an “as is” basis, may be incomplete or unstable, and are used entirely at the user’s own risk. Medlight shall have no liability arising from the use, modification, or withdrawal of any beta or experimental feature.
- email and account access: access to the application and to purchased licenses requires use of the same email address or apple/google account used at the time of activation. Users who use hidden or masked email addresses (such as apple’s “hide my email”) may not be able to retrieve or validate their purchase or access the web version of the application. While third-party systems such as revenuecat may help recover access, maintaining valid and accessible login credentials is the sole responsibility of the user. Medlight will not be responsible for any loss of access or data caused by inaccessible, hidden, or invalid email addresses.
- data retention and backup: medlight does not guarantee storage, backup, or continued availability of user data, preferences, or configurations. Users are responsible for maintaining their own copies of any information, settings, or materials entered into the application. Deleted accounts or expired licenses may result in permanent loss of data, which cannot be restored once removed from medlight’s systems.
- intellectual property and content use: all trademarks, software, modules, and content contained in orthodose® are owned by or licensed to medlight and protected by applicable intellectual property laws. Users may not copy, reproduce, modify, or distribute any portion of the application or its content without medlight’s prior written consent. Any screenshots, extracts, or outputs from the application may not be used for commercial, academic, or training purposes without authorization. Medlight may use anonymized or aggregated data derived from user interactions to improve functionality, in compliance with its privacy policy and applicable data protection laws.
- external links and references: the application or website may include links to external sources or third-party websites. These are provided for convenience only. Medlight has no control over, and accepts no responsibility for, the content, accuracy, or availability of such external sites or any services, products, or materials offered thereon.
- no warranties or representations: to the maximum extent permitted by law, medlight disclaims all express, implied, or statutory warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, reliability, completeness, or uninterrupted availability. The user acknowledges that they use the application and its information entirely at their own risk and that no advice, statement, or information, whether oral or written, shall create any warranty not expressly stated in these terms.
- user acknowledgment: by using orthodose®, the user confirms that they understand and accept that the application is a medical reference and educational tool and not a substitute for professional clinical judgment or patient-specific assessment. The user accepts full responsibility for their use of the application, for all decisions made based on its content, and for compliance with all applicable professional and legal standards.
9.2 Force majeure
Medlight shall not be liable for any delay, failure, interruption, or inability to perform any of its obligations or provide access to the application or its services if such failure or delay results from events or circumstances beyond its reasonable control. These include, without limitation, acts of government authorities or regulators; changes in laws or regulatory requirements affecting digital health, medical software, or data protection; interruptions or failures of the internet, telecommunications networks, cloud hosting providers, payment gateways, or app store platforms (including apple, google, or stripe); widespread software or system outages; cyberattacks, malware, or data breaches originating from third parties; power failures or hardware malfunctions affecting servers or data centers used for the application; pandemics, epidemics, or other public health emergencies that impact medlight’s ability to operate or maintain support; and any labor disputes, strikes, embargoes, or acts of war or terrorism that directly disrupt the performance or delivery of the services. In such cases, medlight’s obligations shall be suspended for the duration of the event, and medlight shall make reasonable efforts to restore normal operations as soon as reasonably practicable. Where technically feasible, medlight shall inform users of any such disruption via notice on the application or website, but shall not be responsible for any loss, delay, data unavailability, or reduced functionality resulting from such force majeure circumstances.
9.3 Limitation of liability
To the maximum extent permitted by law, medlight, its affiliates, directors, officers, employees, contractors, and licensors shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of data, revenue, business, goodwill, anticipated savings, patient harm, or any other losses arising out of or in connection with the use or inability to use the application or services, even if medlight has been advised of the possibility of such damages. The application is intended solely for professional use, and users acknowledge that they are not consumers and are accessing the application exclusively in the course of their professional activities; consumer protection laws shall not apply. Medlight’s total cumulative liability, whether in contract, tort (including negligence), statutory duty, or otherwise, shall in no case exceed the total amount paid by the user to medlight in the twelve (12) months immediately preceding the event giving rise to the claim, and if no payment has been made, liability shall be limited to fifty euros (€50).
Medlight disclaims any obligation to comply with medical device or clinical safety certification standards unless explicitly stated in writing. Medlight shall not be liable for any data loss, interruption, or unauthorized access resulting from failures or actions of third-party service providers, nor for any loss of access or subscription functionality arising from hidden or masked email addresses, account changes, or synchronization issues between platforms. Medlight shall not be responsible for any administrative or technical errors made by any volume purchase program (vpp) operator.
All claims must be brought individually and within twelve (12) months of the date the cause of action arose, after which they shall be permanently barred. Nothing in these terms limits liability for death or personal injury caused by medlight’s proven gross negligence or wilful misconduct, or any other liability that cannot legally be excluded. Medlight shall not be responsible for any clinical outcomes, treatment decisions, or reliance placed on the calculations, content, or tools.
Nothing in these terms excludes or limits any liability that cannot be lawfully excluded or limited under applicable law.
9.4 Indemnity
The user agrees to fully indemnify, defend, and hold harmless medlight srl, its affiliates, directors, officers, employees, agents, contractors, licensors, and service providers from and against any and all claims, actions, demands, damages, losses, liabilities, penalties, fines, costs, and expenses (including reasonable legal and professional fees) arising out of or in connection with:
- (a) any breach by the user of these terms or any applicable law or regulation;
- (b) any misuse of the application, web app, or services, including but not limited to medical, clinical, or technical misuse, or reliance on the information, tools, or calculations provided;
- (c) any claim made by a patient, healthcare institution, regulator, or third party arising directly or indirectly from the user’s professional acts, omissions, or use of the application in a clinical context;
- (d) any inaccuracy, incompleteness, or unlawfulness of data or content submitted or uploaded by the user;
- (e) any violation of intellectual property, confidentiality, data protection, or privacy rights of any third party by the user;
- (f) any loss or damage arising from the user’s failure to maintain account security, passwords, or access credentials; and
- (g) any claim against medlight resulting from actions, errors, or omissions by a volume purchase program (vpp) operator or its designated users.
The user’s obligation to indemnify shall apply regardless of whether the claim is made in contract, tort, statute, or otherwise, and shall survive the termination or expiration of these terms and the user’s use of the application. Medlight reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification, in which case the user agrees to cooperate fully with medlight in asserting any available defenses.
10. INTELLECTUAL PROPERTY
10.1. Intellectual Property Rights
The Orthodose® brand, the entire Application and all its components (including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software) are the intellectual property of MedLight or its licensors and are protected by intellectual property laws. Such intellectual property may not be copied, imitated or used, in whole or in part, without the prior written permission of MedLight. MedLight is the exclusive owner of all intellectual property rights relating to the Application and its Content, the User acquires no intellectual property rights in the Application, the Content, and/or the Services. In this context, it is strictly forbidden for any User and for any third party to copy, rearrange, redistribute, modify, use, or publicize, directly or indirectly, free of charge or for a fee, all or part of the Content of the Application, in particular by reproducing it, by representing it, by adapting it, and this, by any means or medium, known or unknown at the date hereof, on any format, and by any currently known or future technical processes. Any commercial use of the Application is restricted unless the User obtains a license from MedLight to the contrary.
10.2. User’s License to Use
MedLight hereby grants the User a limited, non-exclusive, non-transferable, revocable license to use the Application and Services for their own internal professional use, in accordance with these Terms. All other rights are reserved by MedLight.
The User hereby agrees that they will:
- (a) not rent, lease, sub-license, loan, provide, assign, or otherwise make available the Application or Services to any person without MedLight’s prior written consent;
- (b) not copy the Application except as part of normal use or for necessary back-up or operational security;
- (c) not translate, merge, adapt, vary, alter, or modify any part of the Application nor permit it to be combined with or incorporated into other programs;
- (d) not disassemble, decompile, reverse engineer, or create derivative works from any part of the Application;
- (e) not interfere with, hack, or overload MedLight’s systems or infrastructure; and
- (f) not design, distribute, or operate any software or product similar to or imitating the Application.
No part of these Terms shall be interpreted as a transfer or assignment of ownership rights in the Application, Content, or Services. MedLight reserves the right to suspend or terminate a User’s access if it reasonably believes that the User has infringed MedLight’s or any third party’s intellectual property rights.
The User must promptly notify MedLight upon becoming aware of any unauthorized or illegal use of the Application or its Content.
The User agrees to inform MedLight as soon as they become aware of an act of piracy and in particular of any illegal or non-contractual use of the Application and/or the Content regardless of the mode of distribution.
The User expressly undertakes to download the Application onto their equipment exclusively for personal and non-commercial use and so that use of the Application does not in any way infringe the rights of MedLight, and in particular that this use does not constitute an act of counterfeiting of, or of unfair or parasitic competition with, the Content.
It is formally prohibited to design a product similar to the Application or to create a derivative thereof, and more broadly to be guilty of parasitism, acts of imitation, denigration, or any other act constituting unfair competition.
If necessary, MedLight reserves the right to summon the User to obtain full compensation for the damage caused to the company by the User.
10.3 User Content
When the User uploads, submits, or posts any User Content to the Application, the User retains ownership of their content but grants MedLight a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, display, store, host, and adapt such content as necessary to operate, maintain, and improve the Services. This license remains valid for as long as the User Content is available on the Application.
10.4 User Feedback and Suggestions
If a User provides MedLight with any ideas, feedback, suggestions, improvements, error reports, or other comments relating to the Application or Services (“Feedback”), such Feedback shall not create any obligation of confidentiality or compensation on the part of MedLight. The User acknowledges and agrees that all Feedback becomes the exclusive property of MedLight upon submission, and MedLight shall be free to use, modify, adapt, incorporate, or commercialize such Feedback without restriction or attribution, for any purpose, including improving or developing products, features, or services. The User hereby irrevocably assigns to MedLight all rights, title, and interest in and to such Feedback and waives any moral rights thereto, to the extent permitted by law.
11. PERSONAL DATA AND PRIVACY
MedLight respects the privacy of its Users and complies with the General Data Protection Regulation (EU) 2016/679 (“GDPR”) and the Belgian data protection laws. The collection, storage, and processing of personal data are governed by MedLight’s Privacy Policy, which forms an integral part of these Terms and is available on the Orthodose® website. By using the Application, Users acknowledge that their personal data may be processed by MedLight for purposes necessary to operate, maintain, and improve the Application and Services, and for compliance with legal or regulatory obligations. The lawful bases for such processing may include performance of a contract, compliance with legal duties, and MedLight’s legitimate interests in maintaining service quality and security. Certain processing operations, such as marketing communications, may require the User’s explicit consent. MedLight may use aggregated or anonymized data derived from the Application for statistical, research, or analytical purposes, provided such data cannot identify any individual. Anonymized or aggregated data is not considered personal data under the GDPR. MedLight is not responsible for the data processing activities of third-party service providers, such as payment processors, app store operators, or hosting providers, which act as independent controllers of User data.
12. UNINSTALLATION OF THE APPLICATION BY THE USER
The User may uninstall the mobile Application or stop using the Web App at any time without prior notice. Once uninstalled or access is discontinued, the User will no longer be able to use the Application unless they reinstall it or log in again with their registered email, Apple ID, or Google account. Uninstallation of the Application does not constitute cancellation of any active subscription or payment obligation; Users remain responsible for managing cancellations through the platform where the subscription was originally made. All obligations and restrictions that by their nature are intended to survive termination or uninstallation of the Application shall remain in effect. MedLight may continue to retain certain information for as long as necessary to comply with legal, regulatory, or security requirements, in accordance with its Privacy Policy.
13. DELETION OF USER ACCOUNT
To give Users full control over their personal data, Orthodose® allows Users to permanently delete their User Account at any time through the in-app settings or by following the procedure described in MedLight’s Privacy Policy. Once a User Account is deleted, all associated data will be permanently removed or anonymized, and the User will no longer be able to access the Application or restore their previous information, except where limited retention is required by law, for billing, tax, or security purposes. Account deletion does not automatically cancel any active subscription purchased through app stores or the web platform; Users are solely responsible for managing and terminating such subscriptions directly with the relevant platform provider. MedLight shall not be liable for any loss of data, access, or subscription rights resulting from the User’s decision to delete their Account.
14. MODIFICATION OF THE TERMS
MedLight may update or modify these Terms from time to time to reflect changes in law, regulatory guidance, platform requirements, technical developments, or to introduce new features or improvements to the Application. Where required by law, MedLight will provide prior notice of material changes, such as by email, in-app notification, or at the next login. Continued access or use of the Application after any such update shall constitute the User’s acceptance of the revised Terms. If the User does not agree with the updated Terms, they must stop using the Application and, where applicable, delete their User Account. Certain updates, including those made for security, compliance, or urgent operational reasons, may take effect immediately without prior notice. Updates to MedLight’s Privacy Policy will follow the same procedure.
15. TRANSLATION
These Terms are made available in English only. Where translations of these Terms are provided from time to time for convenience purposes, the English version shall prevail and be deemed the official and binding version for interpretation and enforcement.
16. TERMINATION
MedLight reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate a User’s access to the Application, Web App, or any part of the Services at any time, with or without notice, and without liability of any kind. Termination may occur for any reason, including but not limited to:
Upon termination, all rights granted to the User under these Terms shall immediately cease, and the User must stop all use of the Application. Termination does not entitle the User to any refund, credit, or compensation, including for unused portions of a subscription period, except where mandatory law expressly requires otherwise. MedLight shall not be responsible for any loss of data, access, or functionality arising from such termination. Termination shall not affect any rights, remedies, obligations, or liabilities that accrued prior to the effective date of termination, all of which shall survive, together with any provisions that by their nature are intended to continue in effect. MedLight also reserves the right to terminate, suspend, or deactivate Volume Purchase Program (VPP) Operator accounts or related licenses under the same conditions.
- (a) breach or suspected breach of these Terms, applicable law, or professional standards;
- (b) misuse, fraudulent use, or unauthorized access to the Application or Services;
- (c) security or technical concerns;
- (d) discontinuation, modification, or withdrawal of the Application or any part thereof;
- (e) non-payment or billing irregularities; or
- (f) any conduct that, in MedLight’s sole judgment, may harm MedLight, its reputation, or other users.
Upon termination, all rights granted to the User under these Terms shall immediately cease, and the User must stop all use of the Application. 17. MISCELLANEOUS
- No Partnership or Agency: Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, fiduciary, or agency relationship between the User and MedLight. The User has no authority to bind MedLight in any way or to make representations on its behalf.
- Third-Party Rights: These Terms are for the sole benefit of MedLight and the User. No other person or entity shall have any right to enforce any of their provisions.
- Binding Effect: These Terms are binding upon, and shall inure to the benefit of, both the User and MedLight SRL, as well as each of our respective successors, permitted assigns, and legal representatives. The User acknowledges that their acceptance of these Terms creates a legally enforceable agreement between the parties.
- Notices and Communication: All notices, communications, and documents relating to these Terms or the Services shall be deemed validly delivered when sent by email to the address provided by the User during registration, or by in-app notification. Users agree to maintain an active and accessible email address and to regularly review communications from MedLight. Any communication sent by MedLight to the User’s registered email address shall be deemed received on the date of dispatch. Notices to MedLight must be sent in writing to support@orthodose.com or to MedLight’s registered address, unless otherwise specified.
- Independent Legal Advice: The User acknowledges that they have had the opportunity to seek independent legal or professional advice before accepting these Terms. By continuing to use the Application or Services, the User confirms that they understand and accept these Terms voluntarily and without reliance on any representations not expressly contained herein. MedLight shall not be liable for any misunderstanding, misinterpretation, or consequence arising from the User’s decision not to obtain independent legal advice.
- Headings: Section and paragraph headings in these Terms are included for convenience only and do not affect the interpretation or construction of any provision. The headings shall not be used to limit or otherwise influence the meaning of these Terms.
- Export Control and Sanctions Compliance: Users represent and warrant that they are not located in, under the control of, or a national or resident of any country or territory subject to trade or export restrictions under European Union, United Nations, or Belgian laws. Users shall not use, export, re-export, or transfer the Application or any related materials in violation of such laws or regulations.
- Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent authority, that provision shall be deemed deleted or modified to the minimum extent necessary to ensure validity, without affecting the remaining provisions, which shall continue in full force and effect.
- Waiver: Failure or delay by MedLight to exercise any right or remedy under these Terms shall not constitute a waiver of that or any other right or remedy. Any waiver shall only be valid if made in writing and signed by an authorized representative of MedLight. A single or partial exercise of any right shall not preclude the further exercise of that or any other right.
- Survival: Any provisions of these Terms that by their nature are intended to survive termination or expiry shall remain in full effect, including but not limited to those concerning intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.
- Assignment: The User cannot assign, transfer, or delegate any rights or obligations under these Terms without MedLight’s prior written consent. MedLight may assign or transfer its rights and obligations under these Terms, in whole or in part, to any third party, including in the event of a merger, acquisition, corporate reorganization, or sale of assets, without notice to or approval from the User.
- Entire Agreement: These Terms, together with the Privacy Policy, and any other referenced documents or agreements relating to the Application, constitute the entire agreement between the User and MedLight concerning the use of the Application and Services. They supersede all prior communications, representations, or understandings, whether oral or written, relating to the same subject matter. The User acknowledges that they have not relied upon any statement, representation, assurance, or warranty other than those expressly set out in these Terms or the Privacy Policy.
- Future Digital Services: MedLight may, in the future, develop or make available additional digital services, modules, or companion platforms related to Orthodose® or other medical reference tools. Unless otherwise specified, access to such services shall be governed by these same Terms and any specific terms introduced at the time of release. MedLight reserves the right to determine eligibility, pricing, and regional availability for any such future services.
18. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict-of-law principles. Users acknowledge that they are acting solely in a professional capacity and not as consumers. Where commercially reasonable, the parties shall first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms through good-faith negotiation, conciliation, or mediation. If such efforts fail, the dispute shall be submitted to the exclusive jurisdiction of the French-speaking Court of First Instance of the Brussels district, Belgium. Notwithstanding the foregoing, MedLight reserves the right to initiate legal proceedings in any jurisdiction where the User resides, conducts business, or holds assets, in order to enforce its rights, obtain interim or injunctive relief, or recover debts

Users expressly waive any right to participate in a class or group proceeding, whether in court or arbitration, against MedLight, its affiliates, or its representatives..
